Ascend Program Terms and Conditions

The following Terms and Conditions are entered into by and between You ("Client" or "You") and Idit Sharoni LLC ("Company," "we," or "us").

Program

The Company agrees to provide You with access to the online program entitled "Ascend" ("Program"). As a condition of participating in the Program, You agree to be bound by all policies and procedures set forth in this Agreement, including those incorporated by reference.

Terms of Use, Privacy Policy, and Disclaimer

The Company's Terms of Use, Privacy Policy, and Disclaimer are incorporated by reference into this Agreement. In the event of a conflict between any of those policies and this Agreement, this Agreement shall govern.

Eligibility and Client Requirements

To participate in the Program, You must meet the following requirements:

  1. Be eighteen (18) years of age or older.

  2. Not be in an active crisis or experiencing suicidal ideation.

  3. Have consistent access to the technology required for participation.

  4. Be willing and able to engage in educational coaching activities.

The Company reserves the right to deny access if You do not meet eligibility requirements.

Nature of the Relationship

The Program is an educational coaching program. It is not therapy, marriage and family therapy, counseling, psychotherapy, or medical treatment. Participation in the Program does not create a therapist-client relationship, counseling relationship, or any other professional treatment relationship between You and the Company.

Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship.

Mental Health and Medical Disclaimer

The Program is educational only and is not a substitute for psychotherapy, mental health treatment, or medical care. The Program does not diagnose, treat, or prescribe.

If You experience a crisis, suicidal thoughts, or any harmful or life-threatening situation, You agree to seek professional help immediately, including contacting emergency services, law enforcement, a crisis hotline, or going to an emergency room.

Fees

In consideration of Your access to the Program, You agree to pay the following fees:

Single payment: $10,000 (due immediately)
Payment plan: 12 monthly payments of $1,000 ($12,000 total)

If You select the payment plan, Your card will be charged automatically each month. You remain responsible for all payments unless You receive a refund according to the Refund Policy.

If any payment is not made, the Company will immediately suspend Your access to the Program.

Payment Plan Authorization

If You select the payment plan, You authorize the Company to charge Your credit or debit card automatically according to the terms outlined in the Fees section.

Refund Policy

The Program includes a partial money-back guarantee with the following terms:

You may request a refund within three (3) days of purchase by emailing [email protected]. Your email must include the name of the Program, the date of purchase, and the name and email associated with the purchase.

Non-refundable setup fees:

  • $50 for payment plan enrollments

  • $450 for single-pay enrollments

These setup fees are non-refundable under all circumstances.

If a refund is granted, You must immediately cease use of all Program materials and delete all copies including videos, audios, worksheets, templates, forms, and access to member-only areas. You may be excluded from future offers or alumni benefits.

No Refunds After 3 Days

After three (3) days, all sales are final. No refunds will be issued under any circumstances.

Technology Requirements and Limitations

You are responsible for ensuring that You have the necessary technology to access the Program, including a stable internet connection and access to Zoom or similar platforms.

Technical issues on Your end do not qualify for a refund.

The Program

Access to Program Area

You will have access to a Program Area that may include lessons, forms, worksheets, checklists, and other materials. Access continues as long as the Program Area exists. If the Company intends to close the Program Area, You will receive thirty (30) days notice and the ability to download available materials.

Changes to the Program

The Company may update, modify, or replace any part of the Program at any time, including content, structure, format, or instructors. Any changes will not alter the refund policy.

Live Office Hours

You will have access to weekly live office hours via Zoom or similar platforms. These meetings occur in a group setting with other participants present. You are solely responsible for the information You choose to share during these calls.

Weekly Q and A Emails

You will have access to weekly question-and-answer email opportunities. Instructions will be provided within the Program.

One-on-One Calls With Instructors

Participants receive monthly one-on-one calls with Company instructors or coaches.

You are responsible for scheduling these calls.
Failure to schedule a call within the allotted timeframe results in forfeiture.
You may cancel or reschedule a call with at least 48 hours notice.
No-shows or late cancellations result in forfeiture of the call.

Client Conduct

You agree to participate respectfully in all aspects of the Program. The Company may remove You from calls or terminate Your access if You engage in disruptive, inappropriate, or abusive behavior. Termination for conduct violations does not entitle You to a refund.

Ownership of Intellectual Property

All content in the Program, including text, images, graphics, videos, audio, templates, worksheets, and all related materials, is the property of the Company or its licensors and is protected by copyright and intellectual property laws.

You are granted a personal, single-use, non-exclusive, non-transferable, revocable license to use Program materials for personal use only.

You agree not to modify, reproduce, distribute, share, sell, publish, or create derivative works from any Program material.

Any infringement results in immediate termination of Your license and access without refund.

Confidentiality

You agree to protect the privacy of other Program participants and not disclose their information outside the Program.

You agree not to share any Program materials, methods, or proprietary content with anyone outside the Program.

Because this Program is educational and not therapy, mental-health confidentiality laws do not apply. However, instructors may still be mandatory reporters under state or federal law.

Personal Responsibility

You accept full responsibility for Your outcomes. The Company makes no guarantees regarding results. Your success depends on Your own efforts, actions, and circumstances.

You agree to use judgment and due diligence before acting on any suggestions within the Program.

Materials Provided by You During the Program (Submissions)

The Company does not claim ownership of submissions You provide. However, by posting, submitting, or providing content within the Program, You grant the Company permission to use the materials for Program operations and marketing. This includes the use of audio and video recordings in which You may appear.

No compensation will be paid for the use of such materials.

You warrant that You own or control the rights to all submissions You provide.

No Warranties

The Company makes no warranties regarding the performance or operation of the Program. All Program materials and services are provided "as is" without warranties of any kind, whether express or implied.

Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any damages arising out of or related to Your participation in the Program, including direct, indirect, incidental, special, or consequential damages.

If You are dissatisfied with the Program, Your sole remedy is to discontinue use.

Program liability is limited to the amount You paid for the Program.

Dispute Resolution

Any claims arising out of or related to this Agreement must be resolved exclusively in the state or federal courts geographically closest to Florida.

Indemnification

You agree to indemnify and hold harmless the Company and its employees, contractors, and representatives from any claims, losses, damages, liabilities, or expenses arising out of Your participation in the Program, Your violation of this Agreement, or Your violation of any applicable laws.

Termination and Access Restriction

The Company may terminate Your access to the Program at any time for violating this Agreement, Program guidelines, or for disruptive behavior. Termination does not entitle You to a refund or release You from remaining payment plan obligations.

Entire Agreement

This Agreement, along with the Company’s Terms of Use, Privacy Policy, and Disclaimer, constitutes the entire agreement between You and the Company with respect to the Program.

Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any provision shall be deemed a continuing waiver unless expressly stated in writing and signed.

Force Majeure

The Company is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, government actions, epidemics, strikes, or power outages.

Effective Date

This Agreement becomes effective on the date You register for the Program.
